1. Definitions

ISORA: the company ISORA.
Customer: any natural or legal person entering into an agreement with ISORA.
Consumer: a natural person acting for purposes outside their trade, business, or profession.
Business customer: any customer acting in the course of a profession or business, including retailers and wholesalers.
Agreement: any agreement between ISORA and the customer regarding the sale and delivery of products.
Products: all goods offered by ISORA.
Cooling-off period: the period within which the consumer and/or buyer may exercise the right of withdrawal.
Right of withdrawal: the option for the customer to withdraw from a distance contract within the cooling-off period.
Entrepreneur: the natural or legal person offering products, (access to) digital content and/or services remotely to consumers.

3. Applicability

These general terms and conditions apply to all quotations, orders, agreements, and deliveries by ISORA. Deviation from these terms is only valid if confirmed in writing by ISORA. Any general terms and conditions of the customer are explicitly rejected. If one or more provisions are void or voidable, the remaining provisions shall remain in full force.

4. Offer and formation of agreement

All offers and prices are non-binding unless explicitly stated otherwise on the website. The agreement is concluded at the moment ISORA confirms the order in writing or electronically. Obvious errors in the offer do not bind ISORA. ISORA reserves the right to refuse orders or impose additional conditions.

5. Prices

All prices are for consumers inclusive of VAT and exclusive of shipping costs. For business customers, prices are exclusive of VAT and shipping costs unless otherwise agreed. ISORA reserves the right to change prices at any time. Price changes do not affect already confirmed orders.

6. Payment

For business customers, payment on invoice may be granted with a payment term of up to 14 days unless otherwise agreed. In case of late payment, the customer is legally in default. Statutory interest and all collection costs will be charged to the customer. For business customers, the statutory commercial interest applies.

7. Delivery

Delivery is made to the address provided by the customer. Delivery times are indicative and not binding. Exceeding a delivery time does not entitle the customer to compensation or cancellation. Risk of the products passes at the moment of delivery to the consumer. For business deliveries, partial deliveries may occur.

8. Retention of title

All delivered products remain the property of ISORA until full payment has been received. The customer may not pledge or encumber the products before ownership has transferred.

9. Right of withdrawal (consumers only)

After receiving your order, you have a 14-day cooling-off period as a consumer. During this period, you may indicate that you wish to return the product. Returns are only allowed if the product is unopened, the seal is not broken, the product is in its original packaging, and it is still suitable for resale. The right of withdrawal is excluded for opened sealed food products and products that cannot be returned for hygiene or health reasons. Return shipments must be unopened and in original condition. Return costs are borne by the consumer. Refunds are processed within 14 days after correct receipt of the return.

10. Complaints and conformity

The customer must inspect the products immediately upon receipt. Complaints must be submitted in writing within a reasonable period after discovery for consumers and within 7 days after delivery for business customers. If a complaint is justified and timely, ISORA will, at its discretion, replace, repair, or credit the product.

11. Liability

ISORA is only liable for direct damage resulting from intent or gross negligence. Liability is always limited to the invoice amount of the relevant delivery. ISORA is not liable for indirect damage, consequential damage, loss of profit, or damage caused by improper use or storage of the product. For consumers, this limitation applies to the extent permitted by law.

12. Force majeure

ISORA is not liable in case of force majeure, including natural disasters, crop failures, transport issues, government measures, pandemics, and strikes. In case of force majeure, ISORA may suspend or terminate the agreement without compensation.

13. Specific for business customers

Business customers indemnify ISORA against third-party claims resulting from resale. Business customers are responsible for correct labelling and compliance with local laws when reselling. Returns from business customers are only accepted after prior written approval.

14. Intellectual property

All trademarks, texts, and packaging designs are the property of ISORA. Use of trademarks, texts, or packaging designs is not permitted without written permission unless otherwise agreed.

15. Privacy

ISORA processes personal data in accordance with the GDPR and applicable privacy laws. This may include name, company name, address, email, phone number, payment data, IP address, and order history. Data is used for order processing, payment handling, delivery, customer service, legal obligations, and improving services. Data is stored no longer than necessary unless legally required.

16. Applicable law and disputes

All agreements are governed by Dutch law.
